Thrifted. By Story Seller Agreement
Effective Date: 1 September 2025
This Agreement outlines the terms and conditions for consigning items with Story Cape Town (Pty) Ltd, trading as Thrifted. By Story (‘Thrifted. By Story”, "Thrifted", "we", "us"). By signing digitally via our Fillout form, you ("the Seller") agree to the following terms:
1. Purpose
You are consigning footwear, clothing, or accessories ("Inventory") for resale through our retail store, online channels, events, or marketing campaigns. We act as an agent for your Inventory and do not take title or ownership unless otherwise agreed in writing.
2. Seller Responsibilities
- You confirm you are the legal owner of all Inventory submitted for consignment.
- You guarantee that all Inventory is 100% authentic and free of any liens, encumbrances, or legal claims.
- You confirm items are in clean, sellable condition as described at the time of intake.
- You agree to keep your contact and banking details up to date.
Packaging & Replacement Boxes:
All sneakers must be submitted with their original boxes where possible.
If a box is missing or deemed unsuitable for presentation, a non-refundable replacement box fee of R80.00 will be charged upfront, should the item be accepted. This fee is payable immediately and is not deducted from any future payout.
3. Right to Refuse or Withdraw Inventory
- We reserve the right to accept or decline Inventory at our discretion.
- You or we may request the return of your unsold Inventory at any time, provided:
- A R250 admin fee applies to withdrawals made within 30 days of listing.
- Inventory deemed inauthentic, damaged, unsuitable, or unclaimed after 90 days may be donated, recycled, or returned at your cost.
- If your account has unpaid fees (e.g. withdrawal fees, return-related clawbacks, or negative balances), we reserve the right to withhold the return of any remaining Inventory until all outstanding fees are settled in full. We further reserve the right to deduct the value of any remaining Inventory to offset such balances if unresolved after reasonable notice.
Total Sale Period:
The total sale period for any item is 120 days. After 120 days, you may be notified that your item must be withdrawn.
Should you fail to collect the item within 15 days after notification, Thrifted reserves the right to discount the item by to up to 100% for the purposes of a clearance sale or the item will be discarded or donated at Thrifted’s sole discretion, and no further claims may be made against Thrifted regarding the item.
4. Marketing Use
You grant us full permission to photograph, film, display, and promote your Inventory through all forms of media. This includes use in:
- Store displays
- Photoshoots, videos, or lookbooks
- Events, pop-ups, or brand activations
- Social media and digital ads
- Outfitting models or talent in your Inventory for marketing purposes, both in-store and off-site. All care will be taken to preserve the condition of the item.
You waive any rights to royalties or compensation arising from such use.
Condition Disclaimer:
While we take reasonable care when handling and displaying Inventory, Thrifted is not liable for minor wear that may occur during the listing period, including but not limited to:
- Colour fading from exposure to light
- Surface dust or shelf wear
- Minor creasing or handling marks
These are considered normal risks of retail exposure and do not constitute grounds for compensation or liability.
5. Insurance & Risk of Loss
Thrifted. By Story maintains general insurance for our retail space and inventory. However, it’s important to understand:
- Our insurance covers the replacement value of goods, not consignment payout values (which are based on resale estimates and not the original retail purchase price).
- Final decisions on coverage and payout amounts rest with our insurer and may not always match your expected payout value.
- For this reason, we highly recommend that you arrange your own all-risk insurance, especially for rare or high-value items.
- While we will always act in good faith and submit claims on your behalf, we cannot guarantee full reimbursement if an insurer limits or denies a claim.
6. Pricing & Listing Duration
- Sellers are to submit a desired payout amount for each item at intake. Thrifted will then calculate and set the selling price based on this payout, incorporating all applicable fees, transaction costs, and taxes to ensure the seller receives their requested payout upon sale.
- Thrifted reserves the right to round the final selling price up or down to maintain pricing consistency across our platforms. Any rounding applied will have no impact on the original payout amount requested by the seller.
Our default commission structure includes:
- 34% commission*
- 6% transaction fee
- VAT is applied on commission & transaction fee only.
*Commission rate applies to individual sellers only. Retail sellers will be subject to a separate agreement with customised terms.
Thrifted reserves the right to adjust pricing to improve sale chances, clear old stock, or correct errors, but will only do so after making reasonable efforts to contact the seller for approval and receiving no timely response.
Discretionary Discounting Policy
To support sell-through in a fast-paced retail environment, we may apply discretionary discounts to items that remain unsold beyond certain timeframes. These discounts are used solely to facilitate deal-making in response to genuine offers, either in-store or via our website’s offer system.
- After 30 days: We reserve the right to apply a discretionary discount of up to 10%.
- After 60 days: We reserve the right to apply a further 10% discount.
- After 90 days: We reserve the right to apply an additional 10% discount.
These discounts are applied at our sole discretion and are designed to give our sales team limited autonomy to secure sales without delays or the need for prior seller approval.
Please note: Any discount applied will proportionally reduce your final payout, as our standard fees and commission remain unchanged.
Our goal is to increase the likelihood of your item selling while still maintaining transparency and fairness in our consignment structure.
Where the final sale price is impacted by discretionary discounting, your payout will adjust proportionally, and you accept this as part of our sale optimisation strategy.
7. Payments
- Payouts are processed by EFT in ZAR only to the account information provided and confirmed by the seller at sign-up. (No PayPal, BTC, or Cash Settlements).
- Once your item sells and payment clears with us, your payout (less outstanding fees if applicable) will be included in the next batch EFT run.
- You’ll receive an itemised payout email per batch payment, with a corresponding payment reference.
- Payouts are generally processed within 7 business days after the expiry of the return period. Delays may occur due to banking issues, holidays, store closures, incorrect info, or volume.
- Payouts are processed in scheduled batches, typically once per week. This may vary depending on volume and business calendar.
8. Authenticity & Ownership
- If an item is found to be counterfeit or misrepresented, it will be returned at your expense or destroyed.
- You will not be paid for counterfeit or non-saleable inventory.
9. Item Returns & Customer Claims
- We reserve the right to accept customer returns within 7 days of purchase.
- If a returned item affects a payout already made, we may deduct the amount from future payments or request reimbursement.
- Returns are assessed individually and must meet our internal resale standards. Items damaged after sale may not be re-listed.
10. Abandoned Inventory
If your account is inactive (no new stock and no response to direct communication) for 6 months, all remaining Inventory will be deemed abandoned.
Abandoned Inventory may be donated or recycled at our discretion with no further liability.
We will make three attempts to contact you via your registered email before designating Inventory as abandoned.
11. Confidentiality
All seller information (contact, pricing, earnings) is kept confidential. You agree not to disclose business practices, policies, or pricing structures of Thrifted to third parties.
12. Termination
Either party may terminate this agreement with written notice. Any unsold Inventory will be returned (subject to unpaid fees or admin costs).
We reserve the right to withhold the return of Inventory if your account carries any outstanding negative balance or unpaid charges at the time of termination.
13. Indemnity
You agree to indemnify and hold harmless Thrifted. By Story, its directors, and staff from any claims, damages, or disputes arising from:
- Misrepresentation of Inventory
- Counterfeit product submissions
- Infringement of third-party rights (e.g. copyright, brand ownership)
14. Limitation of Liability
Thrifted. By Story’s total liability for any claim, whether in contract or tort, shall not exceed the payout due for that specific item. We are not liable for lost profits, emotional damages, or indirect losses.
This limitation applies to all circumstances, including negligence, breach of contract, or failure of performance.
15. Governing Law
This agreement is governed by South African law. Any disputes will be handled in Cape Town courts.
16. Protection of Personal Information (POPIA)
In accordance with the Protection of Personal Information Act, 4 of 2013 (POPIA), you consent to Thrifted. By Thrifted collecting, storing, and processing your personal information provided in this agreement for the purposes of consignment operations, payments, and communication.
Your information will only be used for legitimate business purposes and will not be shared with any third parties without your explicit consent, except where required by law. Reasonable safeguards are in place to protect your data from loss, unauthorised access, or misuse.
